What Makes a Non-Compete Enforceable?
Courts balance three factors: (1) geographic scope, (2) duration, and (3) legitimate business interest. The more restrictive the non-compete, the less likely it holds up. A 6-month, single-city restriction on a sales rep is reasonable. A 2-year, worldwide restriction on a junior developer is not.
State-by-State Reality
California: Non-competes are void and unenforceable — period. Employers still include them, knowing they cannot be enforced. Colorado, Minnesota, Oklahoma, North Dakota: Banned for most employees. New York, Illinois, Washington: Enforceable if reasonable and supported by consideration. Texas, Florida: Generally enforceable if reasonable in scope.
3 Questions to Ask Before Signing
1. Did I receive something for this? A non-compete signed at hiring is valid (the job itself is consideration). One imposed mid-employment without a promotion or bonus may not be. 2. Is the scope reasonable? If it bans you from "any business the Company may enter in the future, anywhere in the world," it is overbroad. 3. What is the legitimate interest? Protecting trade secrets and customer relationships is legitimate. Preventing competition generally is not.
How to Negotiate
Push for: (1) Time limit: 6-12 months max. (2) Geographic limit: city or county level, not "worldwide." (3) Activity limit: "directly competitive products" not "any role in the industry." (4) Garden leave clause: if they enforce the non-compete, they pay your salary for the restricted period. (5) Carve-out: if you are terminated without cause, the non-compete is void.
Non-Compete vs Non-Solicit vs Confidentiality
A non-compete stops you from working for competitors. A non-solicit stops you from poaching clients or employees. A confidentiality clause stops you from using trade secrets. Non-solicit and confidentiality clauses are generally easier to enforce and harder to challenge. If a non-compete is overbroad, push to replace it with a strong non-solicit + confidentiality instead.
